<p>2. On most days we have a bundle of letters (mail/post) which are sent to us. We have to forward these to Customers. Some letters are statutory post from Companies House or HMRC and others are business post.</p>
<p>3. We sort the letters in to 2 categories: Statutory post and Business post</p>
<p>4. It would be easier therefore to record the post being sent to customers by having a page where we enter which is just for this purpose.</p>
<p>5.  When we click on the new menu item “Enter Business Post” we would be taken to a page titled “Enter Business Post”.</p>
<p>6. On this page we would need the Company Name and Customer Name Searches.</p>
<p>7. When we search for a company name or customer name one or more records would appear.</p>
<p>8. We would select the customer.</p>
<p>9.  The Description box should NOT be on this page. It is not needed.</p>
<p>10. One of the following should then happen:</p>
<p>Option 1.</p>
<p>• If the Customer has a current Mail Forwarding Service (or Combined Registered Office &amp; Mail Forwarding Service)</p>
<p>• AND we have selected “Money Laundering Documents ARE Sufficient” for their passport</p>
<p>• AND we have selected “Money Laundering Documents ARE Sufficient” for their Utility Bill</p>
<p>• AND they have a positive balance on their Postal Deposit Account</p>
<p>I. THEN the “Confirm New Post Item” page should appear.</p>
<p>II. When we click on “Confirm” an email should be sent to the customer informing them that we received an item of Business Post for them and that this letter has been posted to them.</p>
<p>III. The Customer’s address should appear under the “Details has been updated successfully” which we will copy and paste to our Address label software.</p>
<p>IV. The narrative “Details has been updated successfully” should be changed to “The Item of Post Has Been Recorded against the Customer’s Record.</p>
<p>Please Copy and Paste the Address Below.”</p>
<p>V. The email sent to the customer would appear in their email history (as it does at the Moment)</p>
<p>Option 2.</p>
<p>• If the Customer’s Mail Forwarding (or Combined Registered Office &amp; Mail Forwarding Service) has expired</p>
<p>• OR the customer does not have the mail forwarding service (if they only have registered office)</p>
<p>• OR we have NOT selected “Money Laundering Documents ARE Sufficient” for their passport</p>
<p>• OR we have NOT selected “Money Laundering Documents ARE Sufficient” for their Utility Bill</p>
<p>• OR they DO NOT have a positive balance on their Postal Deposit Account</p>
<p>I. THEN a screen should appear stating which of the above (there may be more than one) apply.</p>
<p>II. The system should then ask us if we want to send the relevant email or emails (Service has expired, service was not purchased, passport required and or utility bill required and or insufficient postal deposit funds)</p>
<p>III. When we click Yes one or more emails are sent to the customer requesting that they renew their service and or send us a scanned copy of their passport and or send us a scanned copy of a utility bill and or visit the website to pay a postal deposit.</p>
<p>IV. The only exception to part III would be in the case where a registered office customer receives business post. In this case we would ask them to pay an amount to cover the postage (normally £2.50).</p>
<p>V. In this case any other emails should NOT be sent and instead a screen should appear asking us how much we wanted to charge them (the default is £2.50 but we should be able to change this amount.</p>
<p>VI. When we confirm the £2.50 amount or change it to another amount an email should be sent to the customer asking them to pay the amount.</p>
<p>11.  At the end of either option 1 or option 2 the system should return to the main “Enter Business Post” screen where we search for the next customer.</p>

<p> This “Post Details” page would list both Statutory Post and Business Post sent to a customer.</p>
<p> It would list the Type of Post (Companies House Post, HMRC Statutory Post or Business Post), Date Sent, User Name of the person making the entry and the charge.</p>
<p> The charge would be Zero for statutory post (because it is free and already including in the registered office facility)</p>
<p> For Business Post the charge would be the amount we entered when entering the post item.</p>

			<content:encoded><![CDATA[<p>In business there are good days and there are bad days; most are a mixture between the two. The purpose of this article is to explore a rather obvious fact that everyday is a new day.</p>
<p>Despite this statement being quite basic and known to everyone over the age of four it is however such a simple principle that it is often overlooked and frequently subsumed within the busy life of an entrepreneur.</p>
<p>To paraphrase the statement slightly; what has happened in the past need not determine what happens today. At the beginning of each day as we gather our bearings beginning with who we are, where we are and what we do, there then follows a recital of what happened in the preceding days and weeks.</p>
<p>Almost automatically we continue the current day as a reaction to these events seeking to progress, curtail or otherwise make the best of them.</p>
<p>Everyday is a new day can be interpreted literally and provide an opportunity to assess current and future plans based on not what has gone before but on an ideal scenario we would want to have prevail before us.</p>
<p>The results of this might be that the entrepreneur decides that resources expended in previous periods should be viewed as lost and current or new projects should be started from scratch.</p>
<p>Another way this maxim might manifest itself is to forgive the business owner their past mistakes; an act of absolution as it were, and allow them the mental capacity to adopt a more bullish and natural approach to the manner in which they run their organisation.</p>
<p>Not unlike the zero based costing approach to budgeting whereby previous expenditure levels are ignored for determining future allocations of funds; the Everyday is a new day philosophy takes this a step further by applying the same principles on a daily basis.</p>
<p>Businesses which implement and adhere to the everyday is a new day principle are often dynamic, enthusiastic, vibrant and often successful. Being unhindered by the past (as much as is possible) they react faster to present opportunities and ultimately limit efforts towards unfruitful projects.</p>

<p>Accuracy is also wide regarded as a premier advantage of automated business systems compared to situations where data is manually transposed.</p>
<p>Perhaps of the less identified but very prevalent benefits is that of ease of understanding. Consider the following scenario:</p>
<p>A business starts and begins to grow. As it expands and greater knowledge is obtained on what functions need to be performed in order to satisfy orders, enquiries and so on, the business add new processes as and when it is necessary.</p>
<p>At this stage, business processes are often added or rather developed quickly as manual systems as the urgency for dealing with the particular issue outweighs the desire to analyse, comprehend, plan, develop and then launch the appropriate automated version.</p>
<p>What then transpires is that over a period of months or years inefficiency begins to become prevalent in the business with numerous, disjointed and complex business processes maintaining to core operating capabilities of the organisation.</p>

<p>One important aspect of developing automated business processes is to have user participation. It is them that will have to work with the system and indeed have first hand experience of the old mechanisms.</p>
<p>By utilising their expertise an automated business system can be developed which they will embrace and which will likely cover many of the deficiencies inherent in the old manual processes.</p>

			<content:encoded><![CDATA[<p>The process for restoring a company can be at times straight-forward whilst on other occasions it can be both a difficult and lengthy procedure.</p>
<p>Essentially, the means of restoring a company require certain statutory forms to be completed, a letter of non objection obtained and for all outstanding filing requirements and any resultant fines to be satisfied.</p>
<h2>Why Restore a Company</h2>
<p>One of the more popular reasons was a person would choose the restore a company would be if the entity owned assets at the time it was dissolved. By default, items of value revert to the crown upon a company being dissolved. The shareholders and directors wanting possession of these assets would have to reinstate the company in order to obtain them.</p>
<h2>The Process</h2>
<p>The process of restoring a company can be divided in to four categories:</p>
<h3>Statutory Forms</h3>
<p>Companies House mandate that the form RT01 be completed in order to restore a company. The document requires that the old company name and number be entered and that it be signed by an authorised person.</p>
<p>Where the company name has been used in setting up a company subsequent to the dissolution an alternative name must be provided. The alternative would be subject to the usual testing and criteria applicable to the registration of a new company name. Thus the availability of a particular chosen name would have to be assessed before being volunteered on the form RT01.</p>
<h3>Letter of Non Objection / Waiver Letter</h3>
<p>Where an application for a company to be restored is made a waiver letter is required from the Bona Vacanti division of the <a title="Treasury Solicitors" href="http://www.tsol.gov.uk/">Treasury Solicitors</a>. The charge at the time of writing for the waiver letter is £69 and can be paid by cheque although and bank transfer is possibly the easiest and quickest method of payment.</p>
<p>The waiver letter is essentially a declaration of non objection from the Crown stating that they permit the reversion of the assets to the company and surrender any prior claim to them.</p>
<h3>Outstanding Filling Requirements</h3>
<p>A significant part of the process to restore a company is that of preparing and submitting outstanding file requirements.</p>
<p>These usually consist of one or more Annual Returns and / or single or multiple sets of annual accounts. These would have to be prepared so that the documents filed for the company since company formation continue unbroken up to the present time.</p>
<p>Other filing documents can be added where for example, the company effectively changed its registered office or had changes in directors or some other event of which Companies House should have been notified of.</p>
<h3>Fines</h3>
<p>The late submission of accounts carry automatic, predetermined fines which would need to be paid before the company can be restored. The fines are calculated on the basis of how overdue a set of accounts was. Where the fines were payable prior to the company being struck off, these would still stand.</p>
<p>In cases where the company was dissolved before the accounts were overdue, Companies House often negate any fines as the company was not in existence when the fines were incurred.</p>
<p>A cheque for the fines would accompany the accounts and other documents as part of the restoration process.</p>
<p>Once the four above attributes have been compiled and collated, they then represent a formal submission to Companies House for the restoration of the company.</p>

<p>Companies House or HMRC Statutory Post for Registered Office customers is free.</p>
<p>Registered Office customers are only charged £2.50 (or another amount) if they receive Business Post.</p>
<p>Where Registered Office customers receive Business Post we need to have a facility to be able to enter the amount we want them to pay.</p>
<p>The default would be £2.50 but we need to be able to change this and have that amount shown in the email sent to them.</p>
<p>h)  For Combined Registered Office and Mail Forwarding Customers like John Smith Companies House or HMRC Statutory Post is free (the registered office part of their service)</p>
<p>When he receives Business Post he would not be asked for or charged £2.50 because as a combined registered office and mail forwarding customer he would be required to have a postal deposit as all Mail Forwarding customers are.</p>
<p>When he receives Business Post the charge would be based on Royal Mail Charges.</p>
<p>We would therefore need to see a place where we can enter the postage charge when selecting the Business Post option any customer who has Mail Forwarding (whether as a standalone service or as part of the combined package).</p>
<h2>2)  Confirm Order Posts</h2>
<p>a)  “Confirm Order Posts” should be renamed to “Confirm New Post Item”</p>
<p>b)  “Order Post” should be renamed as “Post Item”</p>
<p>c)  The Company Name and the Customer Name should appear at the top of the list of details on this screen.</p>
<p>d)  After clicking the “Confirm” button an address label screen should appear with the option to print a label with the current delivery address on.</p>
<h2>3)  Change Address Details</h2>
<p>a)  Could the page heading “Change Address Details” be changed to “Change Customer Details”</p>
<p>b)  Underneath the heading should be displayed the Company Name, Customer Name and the URN of the customer.</p>
<p>c)  “Current Address Details” should read “Current Customer Details”</p>
<p>d)  The Customer’s Name should be added to the list of fields that can be changed</p>
<p>e)  The Company Name and then the Customer Name should be at the top of the list of the fields that can be changed.</p>
<p>f)  Address 2, Address 3 and County should be optional fields, not mandatory.</p>
<p>g)  There should be the option to enter more than one email address for each customer.</p>
<p>4)  Postal Deposit Debit / Credit History (now called “Postal Deposit Account”)</p>
<p>a)  “Postal Deposit Account” should be the heading on this page.</p>

<h2>5)  Email History</h2>
<p>a)  The Search facility (Order Date Start From etc) is not required on this page.</p>
<p>b)  A facility where we can filter to view a single TYPE (subject) of emails (renewal Notice, Passport request etc) would be very useful.</p>
<p>c)  All emails (with or without filters) would be displayed in date order – most recent first.</p>
<p>d)  Again the Company Name and then the Customer Name should be displayed under the title.</p>
<p>e)  The “Delete” email button should be removed.</p>
<h2>6)  Links to other Pages</h2>
<p>A second menu under “Home |  Manage Order |  Email Content |  Settings |  Change Password |  Logout  | Global Search” would be useful.</p>
<p>This second menu would only be seen after going in to “Enter New Post Item”, “Edit Customer Details”, “Postal Deposit Account”, “Email History” or “Customer Details” screens.</p>
<p>The Second Menu would contain links to the “Enter New Post Item”, “Edit Customer Details”, “Postal Deposit Account”, “Email History” or “Customer Details” screens for that same customer.</p>
<p>For example, if I was entering looking at the Email History for John Smith I could click on “Postal Deposit Account” in the second menu and immediately view HIS postal deposit account.</p>
<p>7)   On all sub pages could narrative for the links “« Back to Order List” be changed to “« Return to Main Screen”</p>
<p>8)  Renewals and Postal Deposit Emails</p>

<p>What we are looking to achieve is to make sure that mail can not sent out unless we have a copy of both the passport matching the customer name and the utility bill matching the delivery address uploaded to the post database.</p>
<p>•  When a purchase enters the system either via the company shop or an imported csv file the email which is sent out with the invoice (in the case of company shop purchases) or a general email (for those imported via csv) asks for a copy of the passport and utility bill.</p>
<p>•  These documents are then emailed to us.</p>
<p>•  After each document is uploaded the system should ask “Is this document sufficient for Money Laundering Purposes?” and provide a Yes or No option.</p>
<p>If Yes is ticked then a message should show under that section (Passport section or the Utility Bill section) “Documents are sufficient”.</p>
<p>If No is ticked then a message should show under that section (Passport section or the Utility Bill section) “Documents are not sufficient”.</p>
<p>This is to deal with cases where we are given documents and want to upload them but they are not good quality or we need other documents top support them.</p>
<p>Under the “Documents are sufficient” /  “Documents are not sufficient” messages we would have a button which reads “Change Status” which when we click it the system would display a text box titled “Reason for change of Status”.</p>
<p>It would be mandatory to enter a reason for the change. When this reason has been entered the message “Documents are sufficient” /  “Documents are not sufficient” would change from one to the other and the tick on the Main Screen for that customer would be changed accordingly.</p>
<p>•  If Yes is clicked by us then the system ticks the box for that account on the Main Screen. We will not have the ability to tick or untick to Passport or U-Bills boxes on the Main Screen. It is merely show the status as reported in the Client Details page.</p>
<p>•  We may have more than one passport image and more than one utility bill to upload for a single customer.</p>
<p>• All documents uploaded should be displayed as thumbnail images with the date that they were uploaded shown underneath.</p>
<p>• The “Update” buttons on the Main Screen are no longer required.</p>
<p>• The “Client Details” screen (previously “Order Details”) should display all of the following records relating to a particular customer:</p>

<p>c)  The button for “Enter New Post Item” would be greyed out for deactivated accounts and no post items could be entered for them.</p>
<p>d)  No postal deposit or renewal emails would be sent to deactivated accounts.</p>
<p>e)  Accounts could be reactivated by unticking the “Mark Customer as Lost” button</p>
<p>4)  Event Log History</p>
<p>a)  In the Client Details screen we need a link which opens up a new section called Event Log History.</p>
<p>b)  The Event Log History will display every entry relating to that particular customer line by line in date order.</p>
<p>c)  This would include every transaction, every email sent, every change to the address, every time a passport or utility bill was uploaded and so on.</p>
<p>d)  Each line of the log would show the username of the operator who performed the action.</p>
<p>e)  The log would show the date and time, a description of the event, the user.</p>
<p>f)  There would be a search facility on an individual customer’s log we could search by date, by event type (Post item, Emails, Passport, Utility Bill, Customer Details, and Mark Customer as Lost changes and so on) and by user.</p>

<p>18) In the Expires column we might have a situation where a customer purchases the Registered Office service and then two months later purchases the Mail Forwarding service.</p>
<p>Where a customer has a registered office and a mail forwarding service purchased at different times there will be 2 expiry dates.</p>
<p>However when a customer has purchased both the registered office and the mail forwarding services we would want a single expiry/renewal date which calculates a new date based on when each separate service was purchased.</p>
<p>For example:</p>
<p>The customer forms a company using the Omega package on 1st January 2011 and therefore has the registered office facility from that date.</p>
<p>On the 14th March 2011 the customer purchases the mail forwarding service.</p>
<p>Taken separately, there would be 2 renewal dates of 31 December 2011 for the registered office and 13th March 2012 for the mail forwarding service.</p>
<p>What we want is for the system to recognise that the customer essentially has the combined service and create a new single renewal date based on the cost of each separate service and when each was purchased.</p>
<p>Let’s say the registered office costs £49.99 and the mail forwarding costs £160.</p>
<p>The calculation would therefore be:</p>
<p>Registered Office: Cost per day = £49.99 / 365 = 0.137<br />
Mail Forwarding: Cost per day = £160 / 365 = 0.438</p>
<p>0.438 Less 0.137 = 0.301</p>
<p>0.301 / 0.438 = 0.687</p>
<p>Number of days the second service exceeds the first = 31 days in January 2012, 28 days in February 2012 and 13 days in March 2012 = 72 days</p>
<p>72 Days x 0.687 = 49 days.</p>
<p>Therefore the combined service would have a renewal day of 49 days after the first service expires i.e. 18 February 2012. This would be the date that would be displayed in the  Expires  column and the date used to issue renewal notices.</p>
<p>The above calculations would be based on the actual amounts paid as we may change the price of one or both services from time to time.</p>
<p>Also the amounts paid in the above example are without VAT. The calculation would be the same; it would just use the gross (actual) amounts paid.</p>
<p>We will make it so that the Mail Forwarding service in the Company Shop can only be purchased when a customer enters a Unique Reference Number. That will make sure that the person already has the registered office facility and that the two services go to the same account.</p>
<p>19) [Renewal History]</p>
<p>a)  [Renewal History] shown under each Customer’s Name Should be renamed to  [Payment History]  and also shown under the Company Name.</p>
<p>b) On clicking on the Payment History link the page that is display is titled Payment History and the Company Name and Customer Name are displayed underneath.</p>
<p>c) All Service payments (including the first one) would be displayed (Postage Deposits and £2.50 payments would not be shown here)</p>

<p>The Treasury, in exercise of the powers conferred on them by sections 21(5) and (6) and 428(3) of the Financial Services and Markets Act 2000(1), make the following Order:</p>
<h3> Citation, commencement and interpretation</h3>
<p>1. This Order may be cited as the Financial Services and Markets Act 2000 (Financial Promotion) (Amendment) Order 2007 and comes into force on [1 October 2007].</p>
<p>2. In this Order, the “principal Order” means the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005(2).</p>
<h3>Amendment of the principal Order</h3>
<p>3. After article [ ] of the principal Order insert—</p>
<p>Promotion of pensions to employees<br />
[ ]A.—(1) If an employer offers to his employees membership of a group personal pension scheme or stakeholder pension scheme, and if the employer meets the requirements of paragraph (2), the financial promotion restriction does not apply to any communication which is made to an employee in relation to the scheme where the person (“A”) making the communication meets the requirements of paragraph (4).<br />
(2) The requirements of this paragraph are that—</p>
<p>(a) In the event of the employee becoming a member of the scheme, the employer will make a contribution to the group personal pension scheme or stakeholder pension scheme to which the communication by A relates; and</p>
<p>(b) The employer has not received, and will not receive, any direct financial benefit from the scheme.</p>
<p>(3)  For the purposes of paragraph (2)(b), “direct financial benefit” includes—</p>
<p>(a) Any commission paid to the employer by the provider of the scheme or by A; and<br />
(b) Any reduction in the amount of the premium payable by the employer in respect of any insurance policy issued to the employer by the provider of the scheme.</p>
<p>(4) The requirements of this paragraph are that—<br />
(a) A is not a person who has permission to carry out the activity—<br />
(i) Of establishing, operating or winding-up a personal pension scheme or a stakeholder pension scheme; or<br />
(ii) of a kind specified in article 14 (dealing in investments as principal), 21 (dealing in investments as agent), 25 (arranging deals in investments), 37 (managing investments), 40 (safeguarding and administering assets), 45 (sending de-materialised instructions), 53 (advising on investments), or 64 (agreeing to carry on specified kinds of activity) (so far as relevant to any such activity) of the Financial Services and Markets Act (2000) Regulated Activities Order 2001(3), in relation to rights under a personal pension scheme or in relation to rights under a stakeholder pension scheme;</p>
<p>(b) A is engaged under a written contract with the employer to provide services to the employer and in particular to provide communications to employees in relation to a group personal pension scheme or stakeholder pension scheme;</p>
<p>(c) The communication by A contains a statement informing the employee that the employer will make a contribution to the scheme;</p>
<p>(d) A notifies the employee in writing, prior to the employee becoming a member of the scheme—<br />
(i) Of the amount of the contribution that the employer will make to the scheme in respect of that employee;<br />
(ii) Of any remuneration which A has received or will receive as a result of either—<br />
(aa) the employee joining the scheme, or<br />
(bb) the employee making an increase to the amount of his contribution to the scheme; and</p>
<p>(e) In the case of a non-real time communication by A, the communication contains, or is accompanied by, a statement informing the employee of his right to seek advice from an authorised person or an appointed representative.</p>
<p>(5) In this article “group personal pension scheme” and “stakeholder pension scheme” have the meaning given by article 72(4).<br />
4. After article [ ] of the principal Order insert—</p>
<p>Promotion of insurance to employees<br />
[ ]A.—(1) If the requirements of paragraph (2) are met, the financial promotion restriction does not apply to any communication which is made by an employer to an employee in relation to rights under a contract of insurance.<br />
(2) The requirements of this paragraph are that—<br />
(a) The employer has not received, and will not receive, any commission from the provider of the insurance as a result of the employee entering into a contract of insurance; and<br />
(b) In the case of a non-real time communication, the communication contains, or is accompanied by, a statement informing the employee of his right to seek advice from an authorised person or an appointed representative.</p>
<p>(3) This article does not apply to a communication to which article 72 applies.</p>
